General Terms & Conditions of Sale

These General Terms & Conditions of Sale (“Terms”) apply to all quotations, purchase orders, commercial invoices, order confirmations, online transactions, materials, equipment, and services provided by MME Multiurethanes Ltd. (“Multiurethanes”) to the Buyer. These Terms replace and supersede all previous versions as of the Effective Date. In the event of any translation discrepancy, the English version of these Terms shall prevail. By placing an order, accepting delivery, or using any materials, equipment or services supplied by Multiurethanes, the Buyer agrees to be bound by these Terms.

1. Terms of Sale

All commercial transactions between Multiurethanes and the Buyer are governed exclusively by these Terms unless otherwise agreed in writing by Multiurethanes.

Orders may be initiated through an authorized Purchase Order, written quotation acceptance, online checkout, in-person or written confirmation. Verbal or email orders may be accepted at Multiurethanes’ discretion, and any order confirmation or commercial invoice issued shall constitute binding acceptance.

Acceptance of goods or services shall be deemed to occur upon shipment, delivery, installation, use of the products, or written acknowledgement by the Buyer, whichever occurs first.

Any conflicting terms proposed by the Buyer shall not apply unless expressly agreed to in writing by Multiurethanes.

2. Pricing and Delivery

All prices are exclusive of applicable taxes unless expressly stated otherwise in writing. Applicable federal and/or provincial taxes will be added to the commercial invoice where required by law.

Quotation pricing remains valid for thirty (30) days from the quotation date unless otherwise specified. Where no valid quotation exists, pricing shall be based on Multiurethanes’ current pricing at the time of order acceptance.

Multiurethanes reserves the right to adjust pricing due to market conditions, foreign exchange fluctuations, raw material costs, freight changes, or regulatory requirements. Reasonable notice will be provided where possible.

Clerical or administrative errors are subject to correction. Revised documentation may be issued if required.

Title and risk of loss shall transfer to the Buyer in accordance with the Incoterms stated on the applicable commercial invoice, quotation, or order confirmation.

Delivery or service dates are estimates only. Multiurethanes shall not be liable for delays caused by carriers, suppliers, labour disruptions, regulatory issues, or events beyond reasonable control.

3. Payment Terms and Credit

Unless otherwise agreed in writing, invoices shall be paid in accordance with the payment terms indicated on the Multiurethanes commercial invoice.

Invoices not paid by the due date shall bear interest at a rate of two percent (2%) per month, equivalent to twenty-four percent (24%) per annum, calculated from the due date until paid in full.

Multiurethanes reserves the right, at its sole discretion, to suspend shipments, withhold services, revoke credit privileges, require prepayment, or modify payment terms where any account is overdue.

The Buyer shall not withhold, deduct, or set off any amount from payments due without prior written approval from Multiurethanes.

Multiurethanes reserves the right to recover reasonable administrative, collection, or legal costs incurred in recovering overdue balances.

Materials, equipment, or services cancelled or returned without mutual agreement may be subject to restocking or cancellation charges.

4. Warranties, Use, and Limitation of Liability

Multiurethanes warrants that materials, equipment, and services will conform to published specifications at the time of delivery.

Except as expressly stated herein, Multiurethanes makes no additional warranties, express or implied, including warranties of merchantability or fitness for a particular purpose.

The Buyer acknowledges responsibility for determining product suitability for the intended application, including site conditions, installation methods, and environmental factors. The Buyer assumes all risks associated with handling, transportation, storage, installation, and use.

Claims for shortages, defects, or damage must be submitted in writing within fourteen (14) days of receipt, failing which such claims shall be deemed waived.

Multiurethanes’ total liability shall not exceed the value of the applicable commercial invoice. Under no circumstances shall Multiurethanes be liable for loss of profits, project delays, indirect damages, or consequential damages.

Where Multiurethanes provides emergency assistance or technical support at the Buyer’s request, the Buyer agrees to indemnify and hold Multiurethanes harmless from claims arising from such assistance, except in cases of willful misconduct or gross negligence.

Failure by Multiurethanes to enforce any provision of these Terms shall not constitute a waiver of future enforcement.

5. Force Majeure

Multiurethanes shall not be liable for delays or failures to perform obligations resulting from events beyond its reasonable control.including, but not limited to, natural disasters, supply chain disruptions, labour disputes, transportation interruptions, regulatory actions, material shortages, acts of government, or similar events.

6. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of the Province of Ontario and the laws of Canada applicable thereto.

Any disputes arising from these Terms shall be subject to the exclusive jurisdiction of the courts of Ontario.

If any provision of these Terms is deemed invalid or unenforceable, the remaining provisions shall remain in full force and effect.

7. Online Store Terms

7.1 Order Processing

Orders are processed within 1–3 business days following receipt of full payment.Orders placed on weekends or holidays are processed on the next business day. Custom, made-to-order, and select items may require additional processing time. If applicable, the Buyer will be contacted with an estimated timeline.

7.2 Shipping & Delivery

Shipping charges are calculated at checkout based on weight, dimensions, and destination. Estimated delivery times are as follows:

Freight shipping may be required for larger or palletized orders. If applicable, the Buyer will be contacted with a custom quote and estimated delivery timeline. Purolator or UPS are used as the primary courier unless otherwise arranged.

7.3 Local Pickup

Local pickup is available free of charge at the following location:

7.4 Returns

Eligible items may be returned under the following conditions:

Before returning an item, authorization must be obtained by contacting Multiurethanes. Customers are responsible for return shipping costs unless the item was damaged upon arrival.

7.5 Refunds

Once returned items are received and inspected, a notification regarding the approval status of the refund will be sent. Refunds will be issued using the original payment method. Allow 5–10 business days for processing. Partial refunds may apply for used, damaged, or late returns. If a refund does not appear in the expected timeframe, contact the applicable financial institution before contacting Multiurethanes.

7.6 Damaged or Lost Shipments

In the event of damage upon delivery, the Buyer must contact Multiurethanes within one business day. The following information is required:
